1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legal agreement between you and ClarityView Audits Inc. ("Company," "we," "us," or "our"). By accessing our website, requesting our services, or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services Description

ClarityView Audits Inc. provides professional financial audit services including but not limited to:

• Financial statement audits
• Internal controls reviews
• Compliance audits
• Risk assessments
• Financial consulting services

All services are subject to separate service agreements and engagement letters that will detail specific terms, scope, and deliverables.

3. Professional Standards

Our services are performed in accordance with:

• Canadian Auditing Standards (CAS)
• Generally Accepted Auditing Standards (GAAS)
• Professional standards of the Chartered Professional Accountants of Canada (CPA Canada)
• Applicable provincial regulatory requirements

4. Client Responsibilities

Clients engaging our services agree to:

• Provide accurate, complete, and timely information
• Grant reasonable access to personnel, records, and facilities
• Respond promptly to requests for information
• Pay fees according to agreed terms
• Maintain confidentiality of audit procedures and findings

5. Limitation of Liability

Professional Liability

Our liability for any claim arising from our professional services is limited to the amount of fees paid for the specific service that gave rise to the claim, or $100,000, whichever is less.

Consequential Damages

We shall not be liable for any indirect, special, incidental, or consequential damages, including but not limited to:

• Loss of profits or revenue
• Business interruption
• Loss of business opportunity
• Data loss or corruption

6. Confidentiality

We maintain strict confidentiality regarding all client information in accordance with professional standards and applicable laws. Client information will not be disclosed to third parties without written consent, except as required by law or professional regulations.

7. Intellectual Property

All audit methodologies, templates, reports, and work products created by ClarityView Audits Inc. remain our intellectual property. Clients receive a license to use audit reports for their intended business purposes but may not reproduce or distribute our methodologies without written permission.

8. Payment Terms

• Fees are due within 30 days of invoice date unless otherwise agreed
• Late payments may incur interest charges at 1.5% per month
• Retainers may be required for certain engagements
• Disputed amounts must be raised within 30 days of invoice receipt

9. Termination

Either party may terminate our services with written notice. Upon termination:

• We will complete work in progress where practical
• All outstanding fees become immediately due
• Client materials will be returned promptly
• Confidentiality obligations continue indefinitely

10. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, or technology failures.

11. Governing Law

These Terms are governed by the laws of Ontario, Canada. Any disputes will be resolved through the courts of Ontario or through binding arbitration as mutually agreed.

12. Website Use

Permitted Use

You may use our website for legitimate business purposes related to our services. Prohibited activities include:

• Unauthorized access attempts
• Distribution of malware or harmful code
• Interference with website functionality
• Violation of any applicable laws

• Client's failure to follow our recommendations

• Breach of these Terms by the client

15. Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with the effective date. Continued use of our services constitutes acceptance of modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between parties regarding website use and general service terms.
